How to Start an Online Business in India in 2020 – A Complete Guide

I started my first online business in 2013 after leaving a well paying IT job. I invested my hard-earned money in my startup with the hope of building a million-dollar company.

But, within a year we had more expenses than the income and that was the heartbreaking point for us. 

We tried raising money from outside investors, but getting VC money into business was really hard. 

Even after getting featured in YourStory and other media platforms,  we could not manage to get enough customers.

We ran out of funds, co-founders had conflicts, and unfortunately, we had to shut down the dream startup with net losses of Rs. 15 Lakhs. That was a huge amount of money to lose within one year of the business, isn’t it?

After taking a brief pause and putting myself together, I started looking for ways where I could start a business without putting a large amount of money at risk.

Things that can be started with a low initial capital like freelance work, consulting services or running an online digital marketing agency business.

But, since I was more interested in content marketing I thought of starting a blog and try much luck in the content marketing business. 

That was the time when I started my blog Cashoverflow with an initial investment of Rs. 10,000. 

I made myself clear from day one that I will not bring a single penny of investor money into the business. My goal was to make myself successful in online business without depending on outside money.

Today, I am running an award-winning profitable blog, work as a content marketing consultant, have multiple websites that earn from affiliate marketing and more importantly, I have the freedom to do what I really want in my life. 

You would come to know about the three-step process that I exactly took to start an online business in India that is easy to understand and replicate.

First Step to Start an Online Business in India (With Almost Zero Cost)

You can run an online business on your personal name without paying any registration fees or hiring a chartered accountant. You should track the business expenses and income, to help you file income tax at the end of each financial year. 

You need to pay taxes only on the profits, that is the difference between annual revenue and expenses. 

There are five types of legal entities that can be formed in India

  • Sole Proprietorship 
  • Partnership
  • Limited Liability Company (LLP)
  • Private Limited Company 
  • One Person Company (OPC)

#1. Sole Proprietorship Business 

There is no registration required to start a business as a sole proprietorship. You can give any name to your business and print letterhead, visiting card and start a website.

For example, I can start a business with the name ‘Goyal Traders’, ‘Startup Consultants’, ‘Brilliant Solutions’ or anything that reflects the nature of my business. 

You can use your home address as your business address but it’s always better to have a separate address for long-term benefits. 

You will need address proof to open a bank account and register for GST. You can get yourself registered with the “Shop and Establishment Act License” also known as Gumasta in many states.

The registration is done at the local municipal office by submitting an application.

This would become the address proof of your business to apply for a bank account and GST in the future. 

The income from your sole proprietorship business would be added to your personal income for tax purposes. At the end of the financial year, you will have to pay income tax using your personal PAN number. 

#2. Partnership Firm

Creating a partnership is helpful when the other partner brings in a different skill set which can be combined with your existing skills and is beneficial for the business.

For example, suppose you have content creation skills but do not have marketing skills then you can form a partnership with a person having marketing skills. Both of you can jointly run an online business in partnership.

For forming a partnership you need to clearly define the job roles, responsibilities, profit ratio and obligations of each partner in a written partnership deed. A written partnership deed is helpful to avoid any future conflicts.

After creating a partnership deed you can visit the “Registrar of Firms” in your state and get the deed registered under the India Partnership Act, 1932.

If you want to avoid the charges of registration then you can simply get your partnership deed notarized. 

Difference between Notarized Partnership deed and Registered Partnership deed

Notarized partnership deeds are accepted at most places but you can not sue a company or client because your partnership is not registered under the Partnership Act.

However, anyone can sue your partnership firm and both of the partners would be liable to sort the issue in the court. 

Registered partnership deed gives you the right to sue a client or vendor in case they do fraud with you. Your business would be recognized by all the banks and government offices without any hassle. 

Keep the following documents ready to start the process of the partnership firm. 

  1. Partnership deed written on a stamp paper of at least Rs. 100 (for notarized version)
  2. Partnership deed written on a stamp paper of at least Rs. 2000 (for registered version)
  3. PAN card of all the partners
  4. Aadhaar card of all partners
  5. Registered address proof of business 

After your partnership deed is final (registered or notarized), you should apply for the PAN card. You would get the PAN card within a few days and then you are ready to start your business as a partnership firm. 

You can easily open a bank account with your PAN card, registered address proof and partnership deed. 

#3. Forming a Limited Liability Partnership (LLP)

Limited Liability Partnership (LLP) combines the benefit of both a partnership firm and a company. 

You can run the business as a partnership firm but your liabilities are restricted like the company. This means that in an LLP, the partners do not have unlimited liabilities like in partnership firms.

The other advantage of LLP is less compliance and regulation as compared to a private limited company and no minimum requirement of capital contribution. 

Steps for the formation of LLP are

  • Get Digital Signature Certificate (DSC) for LLP
  • Apply for Director Identification Number (DIN)
  • Get name approval from the MCA portal
  • Form of Incorporation to be filled with State LLP Registrar office along with fees
  • File LLP agreement online on the MCA portal

While incorporating an LLP you will require the following documents.

#4. Forming a Private Limited Company

You should think of incorporating a private limited company only when your online business has grown very large (revenues in crores) and you have more people working for you. 

Until then it is best to run your online business in any of the above forms. That is because the moment you form a company, you have to comply with various statutory obligations under the Companies Act 2013 for which you will need to hire a company secretary. 

Below are the steps to incorporate a company in India

  • Obtain Digital Signature Certificate (DSC)
  • Obtain Director Identification Number (DIN)
  • Check Name availability at MCA portal
  • Fill SPICE INC-32 form (simplified proforma for incorporating a company online)
  • eFile AOA (Articles of association) and MOA (Memorandum of association) 
  • Make PAN and TAN application simultaneously

Following additional documents are required for company incorporation

  • Affidavit for willingness to become shareholders
  • Proof of office address
  • Copy of utility bills
  • Copy of approval if the proposed name requires approval from the govt.
  • NOC from the property owner

 #5. One Person Company (OPC)

OPC is a new type of entity, where you do not require two persons (shareholders) to form a private company.  A single person can open and run the company himself.

But, I discourage you from forming an OPC because you will be solely required to comply with all the company regulations.

The tax rate on OPC is 30% like what companies pay and you lose the advantage of slab wise tax calculation as with the case of a sole proprietorship.

Further, you do not have the second person to cross-check all the business decisions and you are not allowed to start another OPC.

Best Legal Entity While Starting an Online Business 

So, the easiest option to start an online business is to go with a sole proprietorship because you don’t have to do any paperwork or registration. 

You don’t need to apply for GST until you have crossed Rs. 20 Lakhs of revenues in a year (excluding some special states which have different limits – check out this complete guide on GST in India).

TAN card would be required only when you have to deduct tax at source for a vendor or an employee. Follow the guide on TAN for online business to understand when you need to apply for TAN.

No approval or registration is required to start a sole proprietorship business in India. You can start your business with your regular savings account till the time you get a separate business current account. 

Setting up 3 Online Entities 

No matter what kind of online business you want to start, you must have your presence at 3 places online. 

  1. Website (Approx cost less than $100)
  2. Social Media (Free)
  3. YouTube (Free)

The other things that you need to take care of are to 

  • Get a .com extension because .com extension is widely used for companies. If you do not get .com then pick you can go for a .in extension if your audience is in India 
  • If both the extensions have already been taken then you can go for .org or any other extension relevant to the niche. Like if you are catering to a farming niche then you can take a .farm extension for your online business.
  • Avoid domain names with hyphens and special characters that can confuse audiences and they may find it difficult to spell and remember.
  • Avoid words that are difficult to spell and hard to remember.

Even if you are starting your online business on Youtube or social media like Facebook, you should buy a domain because in the future the domain name may not be available. In such a case you will be forced to start a website in a different name.

You can skip this section if you have not started your business yet and I recommend you to read once your business is rolling. 

5 Type of team members are required to handle an online business and you can prioritize which is going to be your first hire once you start generating at least Rs. 10,000 per month. 

For example, if you are starting a digital marketing agency then you will require team members with the following skillset.

#1. Technical Team 

You should be the first technical person of your team who is going to create the core product. 

If you want to sell products online you should be the manufacturer. For example, if you want to sell vegan cooked food then you should cook the food yourself. 

The technical team can be a developer, product manufacturing or designer. They help you in designing & customizing a product and services according to the customer’s needs. 

Technical support is also needed to maintain your online assets and IT infrastructure. But this you can postpone for a later date when your budget allows or when online business has grown big.

#2. Marketing Team

Marketing is essential for your online business because it helps you to reach your customers and serve them well so they convert into repeat and loyal customers.

You do not need a salesperson in the starting because most of the online businesses reach customers through their websites, social media channels and Youtube. 

Very few online businesses who are selling physical products or are in consulting service require a salesperson for calling customers. You will need to hire sales personnel to call your leads to sell your services and products. 

#3. Operational Team 

If you are running a blog or Youtube channel then you do not require an operational team. 

But if you are running an e-commerce online business then you will need an operational team to look after the product packing, delivery and returns. You will need a person to take care of the after-sales support function.

If your online business is selling homemade craft, bags or jewelry products then you need operational team tracking sales, ordering new products and inventory management unless you outsource the above activities.

#4. Finance Team

Initially, you can take care of all the business finance requirements yourself. This will include tracking of income and expenses.
